Provider Acknowledgment and No-Referral-Fee Certification
This Certification is between The Closing Atelier, LLC, an Illinois limited liability company ("Company"), and the business and individual who sign below ("Provider"). Every advertiser and listed provider must sign it before any listing goes live.
1. Who must sign
Every advertiser and every provider shown in the Company's Trusted Pros directory, including: mortgage loan originators (loan officers) and their lenders or brokers; home inspectors; sewer inspectors; contractors of every trade; and land surveyors.
A listing stays hidden until (a) this Certification is signed and (b) the Company's founder has checked Provider's license, registration or NMLS record against the public record.
2. Independent professional; no endorsement
Provider is a separate, independent business. Provider is not an employee, agent, partner, joint venturer or affiliate of The Closing Atelier, LLC, and nothing in this Certification creates any of those relationships or an affiliated business arrangement.
The Company does not recommend, endorse, rank, certify or guarantee Provider or its work. Provider will not say or imply otherwise, and will not use the Company's name or logo except to say that its listing appears in the directory.
3. Flat advertising fee for ad space only
Any fee Provider pays is a flat monthly fee for advertising space and related display services only, at the price published for Provider's category and plan. The parties intend the fee to reflect the fair market value of those services alone, without regard to any business that referrals might bring.
The fee is the same whether or not anyone views, contacts or hires Provider. It is never based on leads, contact requests, referrals, jobs, closings, loan amounts or the price of any home. A free introductory listing, if offered, is offered on the same terms to every eligible provider and is not conditioned on referrals or any other business.
4. No referral fees, kickbacks, fee splits or things of value
Provider certifies that it has not given or accepted, and will not give or accept, any fee, kickback, commission, rebate, split of a charge, gift, discount, liability waiver, free or discounted service, or other thing of value, directly or indirectly, in exchange for the referral of business: (a) to or from the Company or any of its owners, members, managers or employees; (b) to or from any real estate agent, broker or other user of the Company's app; or (c) to or from anyone else, through or in connection with the platform.
Provider will not ask the Company or any agent to refer, steer or recommend clients to Provider, and will not offer anything for doing so.
Laws this section reflects (which ones apply depends on the provider type): Real Estate Settlement Procedures Act §8, 12 U.S.C. 2607, and Regulation X, 12 CFR 1024.14 (settlement services include loan origination, inspections and surveys, 12 CFR 1024.2); Illinois Real Estate License Act of 2000, 225 ILCS 454, including §10-10 (disclosure of compensation) and §10-20 (licensees accept compensation for licensed activity only from their sponsoring broker), and its rules, 68 Ill. Adm. Code 1450; Home Inspector License Act, 225 ILCS 441/15-10(a)(30) (no compensation to real estate licensees as an inducement for referrals) and 68 Ill. Adm. Code 1410.300(e); Illinois Professional Land Surveyor Act of 1989, 225 ILCS 330/27(a)(17) and (18) (no compensation for services not personally rendered; no survey fee contingent on a closing).
5. The consumer chooses
Consumers are always free to choose any provider, on or off the Company's website, or none. Provider will not tell a consumer that the Company, an agent or anyone else requires them to use Provider, and will not condition any service on the consumer using another particular provider.
6. Licenses, registrations and insurance
Provider holds, and will keep current, every license, registration and permit the law requires for the services it advertises, with the correct agency, for example: home inspectors, Illinois Department of Financial and Professional Regulation (IDFPR) under 225 ILCS 441; roofers, IDFPR under 225 ILCS 335; plumbers and sewer inspectors doing plumbing work, Illinois Department of Public Health (IDPH) plumber license and plumbing contractor registration under 225 ILCS 320; other contractors, every municipal or county license or registration required where they work; loan officers, an active NMLS record and Illinois license or federal registration under the SAFE Act, 12 U.S.C. 5101 et seq., and the Illinois Residential Mortgage License Act of 1987, 205 ILCS 635, as applicable; land surveyors, IDFPR license under 225 ILCS 330 and, for firms, Professional Design Firm registration.
Provider keeps insurance customary and legally required for its work (for example general liability, errors and omissions where customary, and workers' compensation where required), and gives the Company a current certificate of insurance on request.
Provider will notify the Company in writing within 30 days of any change to, or any suspension, revocation, lapse, discipline or consent order affecting, any license, registration or insurance policy. The Company may pause the listing immediately when it learns of a lapse, suspension or revocation.
7. Truthful advertising
All listing content will be truthful, not misleading and supported by evidence, in line with the FTC Act §5, 15 U.S.C. 45; the FTC Endorsement Guides, 16 CFR Part 255; the FTC Rule on the Use of Consumer Reviews and Testimonials, 16 CFR Part 465 (no fake, bought or misleading reviews); and the Illinois Consumer Fraud and Deceptive Business Practices Act, 815 ILCS 505.
Loan officers: no interest rates, payments or other loan terms in the listing; comply with Regulation Z advertising rules, 12 CFR 1026.24, and Regulation N, 12 CFR Part 1014; show the individual and company NMLS IDs and the statement "For licensing information, go to: www.nmlsconsumeraccess.org" (38 Ill. Adm. Code 1050.940); and show "Equal Housing Opportunity" or "Equal Housing Lender" as applicable.
Contractors: follow the Home Repair and Remodeling Act, 815 ILCS 513, including a written contract for home repair work over $1,000 and the consumer rights pamphlet; roofers show their license number and licensed name in every ad (225 ILCS 335/5); plumbers show the plumber license number in ads (225 ILCS 320).
Home inspectors: no misleading advertising (225 ILCS 441/15-10(a)(28)).
8. Non-discrimination
Provider will not discriminate, or publish anything showing a preference, limitation or discrimination, based on race, color, religion, sex, disability, familial status, national origin, or any other class protected by the Fair Housing Act, 42 U.S.C. 3601 et seq. (including §3604(c) and, for lenders, §3605), the Equal Credit Opportunity Act, 15 U.S.C. 1691 (lenders), the Illinois Human Rights Act, 775 ILCS 5, and applicable county and city ordinances.
9. Privacy and contacting consumers
Provider will use a consumer's information only to answer that consumer's request, will not sell or share it, and will protect it with reasonable security (and, for lenders, comply with the Gramm-Leach-Bliley Act, 15 U.S.C. 6801 et seq.; for breaches, the Illinois Personal Information Protection Act, 815 ILCS 530).
Provider will call or text a consumer only if the consumer gave that consent on the Company's form, will honor opt-outs promptly, and will follow the Telephone Consumer Protection Act, 47 U.S.C. 227, and 47 CFR 64.1200 (including Do-Not-Call rules), the CAN-SPAM Act, 15 U.S.C. 7701 et seq., the Illinois Telephone Solicitations Act, 815 ILCS 413, and the Illinois Automatic Telephone Dialers Act, 815 ILCS 305.
10. No wire or bank details, ever
Provider will never request, send, accept or discuss bank account numbers, wire instructions or payment details through the Company's website, app, forms or messages. Payment for Provider's services happens directly between Provider and its customer, outside the platform. The Company never handles client funds.
WIRE FRAUD WARNING: The Closing Atelier will never send, request, or change wire instructions. Before sending any money, call your attorney or title company directly at a phone number you have independently verified (not one from an email or text). Never act on emailed or texted wire instructions or changes.
11. Indemnification
Provider will defend, indemnify and hold harmless the Company and its owners, members, managers and employees from claims, losses, fines and reasonable attorney fees arising from Provider's services, listing content, breach of this Certification, or violation of law.
12. Termination for breach
If any statement in this Certification is or becomes untrue, or Provider breaks it, the Company may remove the listing immediately and end the advertising relationship without refund, in addition to any other remedy.
13. Governing law and venue
Illinois law governs this Certification. Any dispute will be heard in the state or federal courts located in Cook County, Illinois.
14. Annual re-certification and new versions
Provider will re-sign this Certification every 12 months and whenever the Company publishes a new version. The listing is paused until Provider re-signs and the Company re-checks the license.
15. Electronic signature and records
Provider agrees to sign electronically. Under the federal Electronic Signatures in Global and National Commerce Act, 15 U.S.C. 7001 et seq., and the Illinois Uniform Electronic Transactions Act, 815 ILCS 333 (which replaced the Electronic Commerce Security Act, 5 ILCS 175, effective June 25, 2021), an electronic signature or record may not be denied legal effect solely because it is electronic.
The Company keeps a signature record (document version and its SHA-256 fingerprint, the date and time, IP address, browser information, and the typed name, title and company) and gives both parties a signed PDF copy. Provider may ask for a paper copy at no charge.
16. Authority and accuracy
The person signing has authority to bind Provider, and all information given in the sign-up form (including license numbers and insurance) is true and complete. The Company is software and advertising space only: it is not a real estate brokerage, lender, law firm or contractor, and this Certification is not legal advice to Provider.
Certifications (checked by the signer)
- I have read the entire Certification.
- I certify that no referral fees, kickbacks, fee splits or other things of value are given or received for referrals, as described in Section 4.
- My licenses, registrations and insurance are current, and I will notify The Closing Atelier, LLC in writing within 30 days of any change, suspension or discipline.
- I understand that consumers are free to choose any provider and that my listing is an advertisement, not an endorsement.
- I will never request or send bank or wire details through the platform.
- I agree to sign electronically, and I have authority to sign for the business named below.

2. Niezależny profesjonalista; brak rekomendacji
Usługodawca jest odrębną, niezależną firmą. Usługodawca nie jest pracownikiem, przedstawicielem, wspólnikiem, partnerem joint venture ani podmiotem powiązanym The Closing Atelier, LLC, a niniejszy Certyfikat nie tworzy żadnej z tych relacji ani powiązanego układu biznesowego.
Spółka nie rekomenduje, nie popiera, nie klasyfikuje, nie certyfikuje ani nie gwarantuje Usługodawcy ani jego pracy. Usługodawca nie będzie twierdził ani sugerował inaczej i nie będzie używał nazwy ani logo Spółki, poza informacją, że jego ogłoszenie znajduje się w katalogu.
3. Stała opłata reklamowa wyłącznie za przestrzeń reklamową
Każda opłata wnoszona przez Usługodawcę jest stałą miesięczną opłatą wyłącznie za przestrzeń reklamową i związane z nią usługi wyświetlania, według ceny opublikowanej dla kategorii i planu Usługodawcy. Strony zamierzają, aby opłata odpowiadała godziwej wartości rynkowej wyłącznie tych usług, bez uwzględniania jakichkolwiek zleceń, które mogłyby wyniknąć z poleceń.
Opłata jest taka sama bez względu na to, czy ktokolwiek wyświetli ogłoszenie, skontaktuje się z Usługodawcą lub go zatrudni. Nigdy nie zależy od liczby zapytań, poleceń, zleceń, zamkniętych transakcji, kwot kredytów ani ceny nieruchomości. Bezpłatne ogłoszenie wprowadzające, jeśli jest oferowane, jest dostępne na tych samych warunkach dla każdego uprawnionego usługodawcy i nie jest uzależnione od poleceń ani innych interesów.

Usługodawca posiada i będzie utrzymywał aktualne wszystkie licencje, rejestracje i pozwolenia wymagane prawem dla reklamowanych usług, we właściwym urzędzie, na przykład: inspektorzy budowlani – IDFPR na podstawie 225 ILCS 441; dekarze – IDFPR na podstawie 225 ILCS 335; hydraulicy i inspektorzy kanalizacji wykonujący prace hydrauliczne – licencja hydraulika i rejestracja wykonawcy w IDPH na podstawie 225 ILCS 320; inni wykonawcy – wszystkie licencje lub rejestracje gminne lub powiatowe wymagane w miejscu pracy; pośrednicy kredytowi – aktywny wpis NMLS oraz licencja stanowa lub rejestracja federalna na podstawie SAFE Act, 12 U.S.C. 5101 i nast., oraz Illinois Residential Mortgage License Act of 1987, 205 ILCS 635, w zależności od przypadku; geodeci – licencja IDFPR na podstawie 225 ILCS 330, a w przypadku firm rejestracja Professional Design Firm.

7. Rzetelna reklama

OSTRZEŻENIE PRZED OSZUSTWEM PRZY PRZELEWACH: The Closing Atelier nigdy nie wysyła, nie prosi o ani nie zmienia instrukcji przelewu. Przed wysłaniem jakichkolwiek pieniędzy zadzwoń bezpośrednio do swojego prawnika lub firmy tytułowej (title company) pod numer telefonu, który samodzielnie zweryfikowałeś(-aś) (nie z e-maila ani SMS-a). 11. Zwolnienie z odpowiedzialności
Usługodawca będzie bronił Spółkę oraz jej właścicieli, członków, menedżerów i pracowników, zwolni ich z odpowiedzialności i pokryje roszczenia, straty, grzywny i uzasadnione koszty adwokackie wynikające z usług Usługodawcy, treści ogłoszenia, naruszenia niniejszego Certyfikatu lub naruszenia prawa.
12. Rozwiązanie w razie naruszenia
Jeżeli którekolwiek oświadczenie w niniejszym Certyfikacie jest lub stanie się nieprawdziwe albo Usługodawca je naruszy, Spółka może natychmiast usunąć ogłoszenie i zakończyć współpracę reklamową bez zwrotu opłat, niezależnie od innych środków.
13. Prawo właściwe i sąd
Niniejszy Certyfikat podlega prawu stanu Illinois. Spory rozstrzygają sądy stanowe lub federalne w hrabstwie Cook, Illinois.
14. Coroczne odnowienie i nowe wersje
Usługodawca ponownie podpisze niniejszy Certyfikat co 12 miesięcy oraz za każdym razem, gdy Spółka opublikuje nową wersję. Ogłoszenie jest wstrzymane do czasu ponownego podpisania i ponownego sprawdzenia licencji przez Spółkę.
15. Podpis elektroniczny i dokumentacja
Usługodawca zgadza się na podpis elektroniczny. Zgodnie z federalną ustawą ESIGN, 15 U.S.C. 7001 i nast., oraz Illinois Uniform Electronic Transactions Act, 815 ILCS 333 (która zastąpiła Electronic Commerce Security Act, 5 ILCS 175, od 25 czerwca 2021 r.), podpisowi lub dokumentowi elektronicznemu nie można odmówić skutków prawnych wyłącznie dlatego, że ma formę elektroniczną.
Spółka przechowuje zapis podpisu (wersję dokumentu i jej odcisk SHA-256, datę i godzinę, adres IP, dane przeglądarki oraz wpisane imię i nazwisko, stanowisko i firmę) i przekazuje obu stronom podpisaną kopię PDF. Usługodawca może bezpłatnie poprosić o kopię papierową.
16. Umocowanie i prawdziwość danych
Osoba podpisująca jest umocowana do zaciągania zobowiązań w imieniu Usługodawcy, a wszystkie informacje podane w formularzu (w tym numery licencji i ubezpieczenie) są prawdziwe i kompletne. Spółka dostarcza wyłącznie oprogramowanie i przestrzeń reklamową: nie jest biurem nieruchomości, kredytodawcą, kancelarią prawną ani wykonawcą, a niniejszy Certyfikat nie stanowi porady prawnej dla Usługodawcy.

3. Tarifa publicitaria fija solo por espacio publicitario
Cualquier tarifa que pague el Proveedor es una tarifa mensual fija únicamente por espacio publicitario y servicios de visualización relacionados, al precio publicado para la categoría y el plan del Proveedor. Las partes pretenden que la tarifa refleje el valor justo de mercado de esos servicios únicamente, sin tener en cuenta ningún negocio que pudieran generar los referidos.
La tarifa es la misma tanto si alguien ve, contacta o contrata al Proveedor como si no. Nunca se basa en contactos (leads), solicitudes, referidos, trabajos, cierres, montos de préstamos ni en el precio de una vivienda. Un anuncio introductorio gratuito, si se ofrece, se ofrece en las mismas condiciones a todo proveedor elegible y no está condicionado a referidos ni a ningún otro negocio.
4. Sin comisiones por referidos, sobornos, repartos de tarifas ni otras cosas de valor
El Proveedor certifica que no ha dado ni aceptado, y que no dará ni aceptará, directa o indirectamente, ninguna tarifa, soborno (kickback), comisión, reembolso, parte de un cargo, regalo, descuento, renuncia de responsabilidad, servicio gratuito o con descuento, ni otra cosa de valor a cambio de referir negocios: (a) a o de la Compañía o cualquiera de sus propietarios, miembros, gerentes o empleados; (b) a o de cualquier agente o corredor de bienes raíces u otro usuario de la aplicación de la Compañía; o (c) a o de cualquier otra persona, a través de la plataforma o en relación con ella.
El Proveedor no pedirá a la Compañía ni a ningún agente que le refiera, dirija o recomiende clientes, y no ofrecerá nada por hacerlo.
Leyes que refleja esta sección (cuáles aplican depende del tipo de proveedor): RESPA §8, 12 U.S.C. 2607, y Regulation X, 12 CFR 1024.14; Illinois Real Estate License Act of 2000, 225 ILCS 454 (incluidos §10-10 y §10-20) y su reglamento, 68 Ill. Adm. Code 1450; Home Inspector License Act, 225 ILCS 441/15-10(a)(30) y 68 Ill. Adm. Code 1410.300(e); Illinois Professional Land Surveyor Act of 1989, 225 ILCS 330/27(a)(17) y (18).
5. El consumidor elige
Los consumidores siempre son libres de elegir cualquier proveedor, dentro o fuera del sitio web de la Compañía, o ninguno. El Proveedor no le dirá a un consumidor que la Compañía, un agente u otra persona le exige usar al Proveedor, y no condicionará ningún servicio a que el consumidor use otro proveedor en particular.
6. Licencias, registros y seguro
El Proveedor tiene, y mantendrá vigentes, todas las licencias, registros y permisos que la ley exige para los servicios que anuncia, ante la agencia correcta, por ejemplo: inspectores de viviendas, IDFPR según 225 ILCS 441; techadores, IDFPR según 225 ILCS 335; plomeros e inspectores de alcantarillado que hagan trabajos de plomería, licencia de plomero y registro de contratista de plomería del IDPH según 225 ILCS 320; otros contratistas, toda licencia o registro municipal o del condado exigido donde trabajan; loan officers, un registro NMLS activo y licencia estatal o registro federal según la SAFE Act, 12 U.S.C. 5101 y ss., y la Illinois Residential Mortgage License Act of 1987, 205 ILCS 635, según corresponda; agrimensores, licencia del IDFPR según 225 ILCS 330 y, para firmas, registro como Professional Design Firm.
El Proveedor mantiene el seguro habitual y legalmente exigido para su trabajo (por ejemplo, responsabilidad civil general, errores y omisiones cuando sea habitual, y compensación laboral cuando se exija), y entrega a la Compañía un certificado de seguro vigente cuando se le solicite.
El Proveedor notificará a la Compañía por escrito dentro de los 30 días cualquier cambio, suspensión, revocación, vencimiento, sanción disciplinaria u orden de consentimiento que afecte cualquier licencia, registro o póliza de seguro. La Compañía puede pausar el anuncio de inmediato cuando se entere de un vencimiento, suspensión o revocación.
7. Publicidad veraz
Todo el contenido del anuncio será veraz, no engañoso y respaldado por pruebas, conforme a la FTC Act §5, 15 U.S.C. 45; las FTC Endorsement Guides, 16 CFR Part 255; la Regla de la FTC sobre reseñas y testimonios de consumidores, 16 CFR Part 465 (sin reseñas falsas, compradas o engañosas); y la Illinois Consumer Fraud and Deceptive Business Practices Act, 815 ILCS 505.
Loan officers: sin tasas de interés, pagos ni otros términos del préstamo en el anuncio; cumplir con Regulation Z, 12 CFR 1026.24, y Regulation N, 12 CFR Part 1014; mostrar los números NMLS individual y de la compañía y la frase "For licensing information, go to: www.nmlsconsumeraccess.org" (38 Ill. Adm. Code 1050.940); y mostrar "Equal Housing Opportunity" o "Equal Housing Lender" según corresponda.

8. No discriminación
El Proveedor no discriminará ni publicará nada que indique preferencia, limitación o discriminación por raza, color, religión, sexo, discapacidad, situación familiar, origen nacional u otra clase protegida por la Fair Housing Act, 42 U.S.C. 3601 y ss., la Equal Credit Opportunity Act, 15 U.S.C. 1691 (prestamistas), la Illinois Human Rights Act, 775 ILCS 5, y las ordenanzas aplicables del condado y la ciudad.
9. Privacidad y contacto con consumidores
El Proveedor usará la información de un consumidor solo para responder a su solicitud, no la venderá ni la compartirá, y la protegerá con seguridad razonable (y, los prestamistas, conforme a la Gramm-Leach-Bliley Act, 15 U.S.C. 6801 y ss.; ante filtraciones, la Illinois Personal Information Protection Act, 815 ILCS 530).
El Proveedor llamará o enviará mensajes de texto a un consumidor solo si este dio su consentimiento en el formulario de la Compañía, respetará de inmediato las solicitudes de baja y cumplirá la TCPA, 47 U.S.C. 227, y 47 CFR 64.1200 (incluidas las reglas Do-Not-Call), la CAN-SPAM Act, 15 U.S.C. 7701 y ss., la Illinois Telephone Solicitations Act, 815 ILCS 413, y la Illinois Automatic Telephone Dialers Act, 815 ILCS 305.
10. Nunca datos bancarios ni de transferencias
El Proveedor nunca solicitará, enviará, aceptará ni tratará números de cuentas bancarias, instrucciones de transferencia ni datos de pago a través del sitio web, la aplicación, los formularios o los mensajes de la Compañía. El pago de los servicios del Proveedor se hace directamente entre el Proveedor y su cliente, fuera de la plataforma. La Compañía nunca maneja fondos de clientes.
ADVERTENCIA DE FRAUDE EN TRANSFERENCIAS: The Closing Atelier nunca enviará, solicitará ni cambiará instrucciones de transferencia. Antes de enviar dinero, llame directamente a su abogado o compañía de títulos a un número de teléfono que usted haya verificado de forma independiente (no uno que aparezca en un correo electrónico o mensaje de texto). Nunca actúe según instrucciones de transferencia, o cambios a ellas, recibidas por correo electrónico o mensaje de texto.
11. Indemnización
El Proveedor defenderá, indemnizará y mantendrá indemnes a la Compañía y a sus propietarios, miembros, gerentes y empleados frente a reclamaciones, pérdidas, multas y honorarios razonables de abogados que surjan de los servicios del Proveedor, del contenido de su anuncio, del incumplimiento de esta Certificación o de una violación de la ley.
12. Terminación por incumplimiento
Si alguna declaración de esta Certificación es o llega a ser falsa, o el Proveedor la incumple, la Compañía puede retirar el anuncio de inmediato y terminar la relación publicitaria sin reembolso, además de cualquier otro recurso.
13. Ley aplicable y jurisdicción
Esta Certificación se rige por las leyes de Illinois. Cualquier disputa se resolverá en los tribunales estatales o federales ubicados en el condado de Cook, Illinois.
14. Recertificación anual y nuevas versiones
El Proveedor volverá a firmar esta Certificación cada 12 meses y cada vez que la Compañía publique una nueva versión. El anuncio queda en pausa hasta que el Proveedor vuelva a firmar y la Compañía vuelva a verificar la licencia.
15. Firma electrónica y registros
El Proveedor acepta firmar electrónicamente. Según la ley federal ESIGN, 15 U.S.C. 7001 y ss., y la Illinois Uniform Electronic Transactions Act, 815 ILCS 333 (que reemplazó a la Electronic Commerce Security Act, 5 ILCS 175, a partir del 25 de junio de 2021), no se puede negar efecto legal a una firma o registro electrónico solo por estar en forma electrónica.
La Compañía conserva un registro de la firma (versión del documento y su huella SHA-256, fecha y hora, dirección IP, datos del navegador, y el nombre, cargo y empresa escritos) y entrega a ambas partes una copia firmada en PDF. El Proveedor puede pedir una copia en papel sin costo.
16. Autoridad y exactitud
La persona que firma tiene autoridad para obligar al Proveedor, y toda la información dada en el formulario (incluidos números de licencia y seguro) es verdadera y completa. La Compañía ofrece solo software y espacio publicitario: no es una correduría de bienes raíces, prestamista, bufete de abogados ni contratista, y esta Certificación no es asesoría legal para el Proveedor.
